    These Terms of Service (“Terms”) govern your access to and use of the website at <\/span>www.thefreshlabel.co<\/b> (the “Website”) and the wholesale seafood supply services (the “Services”) provided by <\/span>The Fresh Label Pte. Ltd.<\/b> (“The Fresh Label”, “we”, “us”, or “our”), a company incorporated in Singapore.<\/span><\/p>

    By visiting the Website, submitting an inquiry, placing an order, or engaging our Services in any capacity, you (“the Customer”, “you”, or “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Website or our Services.<\/span><\/p>

    These Terms constitute a legally binding agreement between you and The Fresh Label and are governed by the laws of Singapore.<\/span><\/i><\/p>

    • You will use the Website and Services only for lawful, wholesale commercial purposes<\/span><\/li>
    • The information you provide to The Fresh Label is accurate, current, and complete<\/span><\/li><\/ul>

      2. Scope of Services<\/b><\/h2>

      The Fresh Label is a wholesale seafood supplier serving restaurants, markets, hawkers, and food businesses across Singapore. Our Services include, but are not limited to:<\/span><\/p>

      • Sourcing and importing quality farmed seafood (including fish, prawns, shellfish, and related products)<\/span><\/li>
      • One-stop supply chain management covering procurement, preparation, and delivery<\/span><\/li>
      • Food processing services including grading, scaling, gutting, cutting, and filleting<\/span><\/li>
      • Vacuum packaging of seafood products for freshness and food safety<\/span><\/li>
      • Cold chain logistics and refrigerated delivery across Singapore<\/span><\/li><\/ul>

        Our Services are offered on a wholesale basis only. We do not supply to individual retail consumers. By using our Services, you confirm that you are a business purchasing for commercial purposes.<\/span><\/p>

        3. Orders and Pricing<\/b><\/h2>

        3.1 Order Placement<\/b><\/p>

        Orders may be placed by contacting us via the Website’s contact form, phone (+65 8885 5019), WhatsApp, or email (info@thefreshlabel.co). All orders are subject to availability and acceptance by The Fresh Label. We reserve the right to decline any order at our discretion.<\/span><\/p>

        3.2 Pricing<\/b><\/p>

        Wholesale pricing is provided upon inquiry and is subject to change without prior notice. Prices quoted are valid only at the time of confirmation and may vary depending on market conditions, species availability, seasonal factors, and order volume. All prices are quoted in Singapore Dollars (SGD) and are exclusive of any applicable taxes unless stated otherwise.<\/span><\/p>

        3.3 Order Confirmation<\/b><\/p>

        An order is not considered confirmed until you receive written or verbal acknowledgment from The Fresh Label. We reserve the right to cancel or modify a confirmed order in the event of supply disruption, pricing error, or force majeure circumstances, with prompt notification to the Customer.<\/span><\/p>

        3.4 Minimum Orders<\/b><\/p>

        The Fresh Label may impose minimum order quantities or values at its discretion. Any applicable minimums will be communicated to you at the time of inquiry or order.<\/span><\/p>

        4. Payment Terms<\/b><\/h2>

        4.1 Payment Methods<\/b><\/p>

        Accepted payment methods will be communicated to you at the time of order. The Fresh Label reserves the right to require advance payment or a deposit for new customers or large orders.<\/span><\/p>

        4.2 Payment Due Date<\/b><\/p>

        Unless otherwise agreed in writing, payment is due upon delivery or on the terms specified in your invoice. The Fresh Label reserves the right to impose credit terms on a case-by-case basis for established wholesale accounts.<\/span><\/p>

        4.3 Late Payment<\/b><\/p>

        Any outstanding invoices not settled by the due date may be subject to late payment charges and may result in suspension of future orders until the outstanding balance is cleared.<\/span><\/p>

        4.4 Disputes<\/b><\/p>

        Any billing disputes must be raised in writing within 7 days of receiving the invoice. Failure to raise a dispute within this timeframe will be deemed acceptance of the invoice.<\/span><\/p>

        5. Delivery<\/b><\/h2>

        5.1 Delivery Area<\/b><\/p>

        Delivery is available within Singapore only, subject to accessibility of the delivery address. Delivery to specific areas may be subject to additional conditions or charges.<\/span><\/p>

        5.2 Delivery Schedule<\/b><\/p>

        Delivery times are scheduled based on mutual agreement between you and The Fresh Label. While we make every effort to meet agreed delivery windows, we cannot guarantee exact delivery times and shall not be liable for delays caused by traffic, weather, or other circumstances beyond our reasonable control.<\/span><\/p>

        5.3 Cold Chain Integrity<\/b><\/p>

        The Fresh Label uses refrigerated cold-chain logistics to maintain product quality during transit. Upon delivery, the Customer is responsible for receiving and storing products in appropriate refrigerated conditions immediately. Risk of deterioration in product quality passes to the Customer upon delivery.<\/span><\/p>

        5.4 Delivery Acceptance<\/b><\/p>

        The Customer or an authorised representative must be present to receive the delivery. If no one is available to receive the delivery at the agreed time, The Fresh Label reserves the right to charge for the attempted delivery and reschedule at the Customer’s expense.<\/span><\/p>

        6. Product Quality and Food Safety<\/b><\/h2>

        6.1 Quality Standards<\/b><\/p>

        The Fresh Label is certified by the Singapore Food Agency (SFA) and adheres to applicable food safety and quality standards. All seafood products are manually graded, inspected, and processed before delivery.<\/span><\/p>

        6.2 Farmed Seafood<\/b><\/p>

        Products supplied by The Fresh Label are primarily farmed seafood imported from various international sources. While we endeavour to source the highest quality products available each season, natural variations in size, colour, and appearance may occur and do not constitute a defect.<\/span><\/p>

        6.3 Customer Responsibility<\/b><\/p>

        The Customer is responsible for:<\/span><\/p>

        • Inspecting all delivered products upon receipt and reporting any visible damage, quality concerns, or short delivery immediately at the point of delivery<\/span><\/li>
        • Storing all seafood products at appropriate temperatures in accordance with food safety guidelines<\/span><\/li>
        • Complying with all applicable food handling and safety regulations in Singapore<\/span><\/li>
        • Ensuring that seafood is used or sold within safe consumption timeframes<\/span><\/li><\/ul>

          6.4 Claims & Returns<\/b><\/p>

          Any claims regarding product quality, quantity discrepancies, or delivery errors must be raised at the time of delivery or within 24 hours of receipt, supported by photographic evidence where applicable. The Fresh Label will not accept claims raised after this period. Accepted claims may be resolved through replacement, credit note, or refund at The Fresh Label’s sole discretion.<\/span><\/p>

          7. Website Use<\/b><\/h2>

          7.1 Permitted Use<\/b><\/p>

          The Website is provided for informational purposes and to facilitate inquiries about The Fresh Label’s products and services. You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of others.<\/span><\/p>

          7.2 Prohibited Conduct<\/b><\/p>

            10. Limitation of Liability<\/b><\/h2>

            10.1 Exclusion of Indirect Losses<\/b><\/p>

            To the fullest extent permitted by Singapore law, The Fresh Label shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with the use of our Services or the Website, including but not limited to loss of profits, loss of business, or reputational damage.<\/span><\/p>

            10.2 Cap on Liability<\/b><\/p>

            Our total cumulative liability to you in connection with any order or claim shall not exceed the value of the specific order to which the claim relates.<\/span><\/p>

            10.3 No Warranty<\/b><\/p>
